The potentiometric studies have been earned out on bivalent metal complexes of Mg+2, Cd+2, Hg+2, Ni+2 and Co+2 with 2-methyl-3-(2'-hydroxy-5 'phenylbenzytidene) quinazoline-(3H)-4-one. The dissociation constants of the reagent and formation constants of its metal complexes have been determined by Irving Rossotti method at 30±10C and at ionic strength 0.1 M in 70:30% (V/V) alcohol-water medium. The order of the stability constants of the chelates is found to be: Mg+2< Cd+2< Co+2< Ni+2< Hg+2
